These Terms of Service (the "Terms"), along with any associated order for Services (the "Order"), and any amendments thereto signed by you and Distribute, collectively form the "Agreement" that governs your access to and use of the Distribute Services. The Distribute Services include the Distribute website, hosted services, software, and all related features and functionalities (collectively, the "Services"). Please read these Terms carefully before using the Services.
By using the Services, you agree to these Terms. If you're using the Services on behalf of an organization, you're agreeing on behalf of that organization, and you represent and warrant that you have the authority to do so. In such cases, "you" and "your" will refer to that organization. You and Distribute are each a "Party" to this Agreement.
You may use the Services only if you have the legal capacity to enter into a contract with Distribute. We may modify the Services from time to time, and we reserve the right to discontinue or alter any feature or functionality with notice to you.
To use our Services, you'll need to create content within our platform, which may include microwebsites, pages, snippets, and video recordings. You may also integrate your data from other sources. You retain full ownership of all the content you create or upload to Distribute ("Your Content"). We don't claim any ownership rights over Your Content.
You are solely responsible for Your Content and your use of the Services. It's your responsibility to ensure that you have all necessary rights and permissions to comply with these Terms and to avoid infringing on the rights of others.
Distribute will implement appropriate technical and organizational measures to protect Your Content in accordance with applicable data protection laws.
Our Services include AI-powered features that can help generate content. You are responsible for reviewing, editing, and approving any AI-generated content before publishing or sharing it. Distribute is not responsible for the accuracy, appropriateness, or legality of AI-generated content.
The Services allow you to share Your Content with others. You are solely responsible for what you share and with whom you share it. Be careful about sharing sensitive or confidential information.
You may choose to integrate third-party products or services with Distribute. Your use of any third-party services is subject to their respective terms and privacy policies. Distribute is not responsible for the practices of any third-party services.
You are responsible for maintaining the security of your account and password. You agree not to share your password with any third party and are responsible for all activity that occurs under your account.
You must not use the Services to:
Distribute owns and retains all rights, title, and interest in the Services and our technology. You own and retain all rights to Your Content. By using our Services, you grant Distribute a worldwide, non-exclusive, royalty-free license to host, store, and display Your Content solely for the purpose of providing and improving the Services.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation of confidentiality will survive the termination of this Agreement for a period of one year.
If you provide us with any feedback or suggestions regarding the Services, you agree that we may use this information without any obligation to you.
You agree to use the Services only for lawful purposes and in accordance with these Terms. Distribute reserves the right to investigate and take appropriate action against anyone who, in Distribute's sole discretion, violates this provision.
Distribute respects the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.
All payments are to be made in accordance with the Order. Unless otherwise specified, fees are due upon commencement of the Services. If you fail to pay fees when due, we may suspend or terminate your access to the Services.
Fees are non-refundable except as expressly provided in these Terms or required by law.
This Agreement will remain in effect until terminated by you or Distribute. Either party may terminate this Agreement at any time upon notice to the other party. Upon termination, you will no longer have access to the Services, and you are responsible for exporting Your Content before termination.
Distribute warrants that it will provide the Services in a professional manner consistent with general industry standards. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DISTRIBUTE BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. DISTRIBUTE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU HAVE PAID DISTRIBUTE IN THE PAST TWELVE MONTHS.
You agree to indemnify and hold harmless Distribute from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services or violation of these Terms.
We may update these Terms from time to time. We'll notify you of any significant changes, and you agree to the updated Terms by continuing to use the Services after the changes take effect.
These Terms constitute the entire agreement between you and Distribute regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Distribute's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
The laws of Texas, excluding its conflict of law provisions, will govern these Terms and your use of the Services. Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Austin, Texas.
